Acceptance of Terms By using our website or services, you agree to these Terms of Service. If you don't agree with these Terms, please don't use our services. 3. Services Provided Firma Twórców Sp. z o.o. provides Description of Services, Billing, Acceptable Use, and Compliance ShortVibe is an online platform that enables users to create and host live video events for teams, marketing purposes, and communities. Creating and running an event requires an active paid subscription purchased through ShortVibe’s authorized payment provider. Attending an event does not require a subscription. Users must create an account in order to create or attend an event. Service Functionality The services provided by ShortVibe include the following: 1. The host of an event may upload video files to the ShortVibe platform for use during a specific event. 2. The host controls the playback of uploaded videos, which are synchronously streamed to invited attendees during the event. 3. A host may upload up to fifty (50) videos per event. 4. Each uploaded video is subject to a maximum file size of 200 MB and a maximum duration of five (5) minutes. 5. During an event, the host and attendees may communicate using a live chat feature provided within the platform. 6. Users retain ownership of the videos and other content they upload to the platform. 7. Users may upload only content for which they hold all necessary rights, licenses, or permissions in accordance with applicable copyright and related laws. 8. Uploaded content is subject to moderation and must not include illegal content, sexual content, hate speech, nudity, content harmful to minors, or other content prohibited by applicable law or ShortVibe policies. 9. ShortVibe may block, remove, or restrict access to content that violates its moderation rules or applicable law, without prior notice. 10. After an event ends, all videos uploaded for that event are permanently deleted and cannot be recovered. 11. The host may invite attendees to an event through the ShortVibe platform. 12. Event invitations are sent via email from a ShortVibe platform email address and include the name of the host. 13. Access to an event is limited to users who have received an invitation through the ShortVibe platform and have authenticated their account. 14. ShortVibe is not a video hosting or storage service and provides video functionality solely for the purpose of live event playback. 15. The service is provided on an “as is” and “as available” basis, and uninterrupted or error-free operation of events, video playback, chat, or email delivery is not guaranteed. Pricing, Free Trial, and Billing Access to the functionality required to create and host events on ShortVibe is offered on a subscription basis. ShortVibe offers a seven (7) day free trial. A valid payment method is required to start the free trial. No charges are made during the free trial period. By starting the free trial, the user requests immediate access to the service and acknowledges that, unless the subscription is cancelled before the end of the free trial period, the subscription will automatically convert into a paid monthly subscription. Unless cancelled before the trial ends, billing will automatically begin immediately after the free trial period. The subscription fee is USD 15 per month and is charged on a recurring monthly basis. Payments for paid subscriptions are processed by a third-party payment provider acting as the merchant of record. For the purposes of payment processing, invoicing, and tax compliance, the merchant of record is Polar (operated by Polar Software, Inc. or its affiliated entities). Polar is responsible for charging users, collecting applicable taxes, and issuing invoices or reverse invoices in accordance with applicable law. ShortVibe does not process payments directly and does not issue invoices to users. Subscription fees are non-refundable. No refunds or credits are provided for partially used subscription periods, unused time, or cancelled subscriptions, except where required by applicable law or as otherwise determined by the merchant of record. Users may cancel their subscription at any time. Cancellation prevents future billing but does not entitle the user to a refund for any amounts already charged. Any change to the subscription price will apply no earlier than the next billing period and will be introduced only after the user has been informed in advance and has provided consent, where required by applicable law. Acceptable Use Policy Users may access and use the ShortVibe platform only in compliance with these Terms, applicable law, and all instructions provided through the platform. Users must not upload, stream, share, or otherwise make available any content that is unlawful, infringes intellectual property or other rights of third parties, contains sexual or pornographic material, hate speech, harassment, violence, content harmful to minors, malware, misleading or fraudulent material, or content otherwise prohibited by applicable law or ShortVibe policies. Users must not attempt to bypass security or access controls, access events or accounts without authorization, scrape, record, download, reproduce, or redistribute streamed content without permission, or use automated systems to access the platform without authorization. ShortVibe may monitor, restrict, block, remove, or disable access to content or accounts that violate these Terms or applicable law. ShortVibe is not obligated to monitor all content in advance and does not guarantee that prohibited content will be identified or removed. Notice of Illegal Content and Copyright Claims (EU Digital Services Act and U.S. Digital Millennium Copyright Act) Any user or third party may notify ShortVibe of content that is alleged to be illegal, infringing, or otherwise in violation of these Terms by submitting a notice via email to hello@shortvibe.io. Notices should include sufficient information to allow ShortVibe to identify the content and assess the alleged violation. For copyright-related notices submitted under the U.S. Digital Millennium Copyright Act (DMCA), this includes: • Identification of the copyrighted work claimed to have been infringed • Identification of the allegedly infringing material and sufficient information to locate it • Contact information of the reporting party • A statement of good-faith belief that the use is not authorized by the copyright owner, its agent, or the law • A statement, under penalty of perjury, that the information is accurate and that the reporting party is authorized to act on behalf of the copyright owner • A physical or electronic signature of the copyright owner or authorized representative ShortVibe will review notices and take appropriate action where required by applicable law, which may include removal or restriction of access to the content. Users who repeatedly upload content that infringes intellectual property rights may have their accounts suspended or terminated. Content Moderation Transparency Content moderation decisions may be taken based on these Terms, applicable law, or ShortVibe’s internal moderation processes. ShortVibe may restrict or remove content or accounts where it reasonably believes a violation has occurred. User Responsibilities By using our services you agree to: - provide accurate and up-to-date information when required; - use the services only for lawful purposes; - not copy, modify, distribute, or misuse our content or systems; and - comply with all applicable laws and regulations. 5. Accounts If our services require account creation, you are responsible for maintaining the confidentiality of your account credentials. You agree to accept responsibility for all activities that occur under your account. 6. Payments and Refunds If our services involve payments, the following terms apply: - Payment Method: Credit Card - Billing Frequency: Monthly - Payment Terms: Due upon receipt - Refund Policy: No refunds All fees are due according to the plan selected. By submitting payment information, you authorize Firma Twórców Sp. z o.o. to process payments as described. 7. Intellectual Property All materials, software, content and trademarks made available through the Service are the exclusive property of Firma Twórców Sp. z o.o. or its licensors. Nothing in these Terms grants you rights or licenses to use Firma Twórców Sp. z o.o.'s intellectual property beyond what is expressly permitted. 8. Termination Firma Twórców Sp. z o.o. may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if continued access may cause harm to Firma Twórców Sp. z o.o. or other users. Upon termination, all rights granted under these Terms will immediately cease. 9. Limitation of Liability To the maximum extent permitted by law, Firma Twórców Sp. z o.o. will not be liable for any indirect, incidental, consequential or punitive damages, including loss of profits, data, or revenue, arising out of your use of the Services. In any case, Firma Twórców Sp. z o.o.'s total liability shall not exceed the amount you paid in twelve (12) months prior to the claim. 10. Indemnification You agree to indemnify and hold harmless Firma Twórców Sp. z o.o., its affiliates, directors and employees from any claims, damages, or expenses arising from your misuse of the Services or breach of these Terms. 11. Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of Poland. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Warsaw, Poland. 12.
